Project summary:
OWC was engaged by an investment firm to deliver a Red Flag Technical Due Diligence (TDD) assessment for the potential acquisition of a Battery Energy Storage System (BESS) project in Japan. The project was under construction at the time of the assessment, with commercial operations expected to commence in the near term. The due diligence assessment was commissioned during a critical pre-acquisition phase and aimed to identify and quantify any material technical, contractual, and financial risks that could impact the investment decision.
Project Challenges
Working under a tight transaction timeline, the client needed an independent assessment of the key technical and contractual risks associated with the BESS project before proceeding with a potential acquisition.
With most of the Virtual Data Room (VDR) documentation available only in Japanese, it was important for the client to work with a multidisciplinary due diligence team capable of identifying and assessing risks across technical, contractual and commercial domains.

Our Value
Enabled a confident investment decision by providing a clear, evidence-based assessment of technical, contractual and commercial risks, supported by risk ratings, root-cause analysis and practical mitigation recommendations.
Identified a seismic and ground-subsidence risk that had not been fully evaluated and mitigated during project development, ensuring the client had full visibility of the exposure before completing the acquisition.
Our OWC Japan team turned a complex technical risk into an actionable commercial input by quantifying potential earthquake-related losses, allowing the client to benchmark insurance costs and make informed risk-transfer decisions.
Strengthened the client’s negotiating position by highlighting key risk exposures and their potential impact, supporting informed discussions during the Share Purchase Agreement (SPA).
